Service and Product Agreements: Negotiated and drafted master service agreements and service level agreements for a variety of products and services on behalf of a numerous telecommunications and other service providers. Worked with both start-up and established businesses on development of applicable commercial agreements. Extensive experience with fiber-optic capacity and related service agreements from both the buyer and seller perspectives.
Complex Commercial Transactions: Negotiated and drafted equity and debt transaction documents and the acquisition documents for regulated and non-regulated assets transactions; obtained all necessary state and federal approvals. Represented a large, publicly traded equipment manufacturer in the sale of its service division.
Equipment and Software Contracts: Handled a variety of equipment and software contracts, including communications equipment purchase & evaluation agreements and licensing & support arrangements. Designed and drafted complete lines of licensing and support agreements for sophisticated software packages. Agreements included Service-as-a-Service models as well as usage based agreements.
In-House High Volume Contract Experience: Experience handling a high volume of different contracts (non-disclosure agreements, professional service agreements, master service agreements, service level agreements, consultant agreements, shareholders agreements and a variety of other contracts).
Telecommunications Regulatory: Obtained and maintained necessary federal and state licenses for telecommunications companies. Established and maintained regulatory compliance reporting systems.
Right of Way Authority: Assisted in obtaining rights of way access from state and local entities, as well as, from private entities.
Agency and Employment Agreements: Drafted and negotiated agency agreements on behalf of sales agents and employers for agent representation. Drafted and negotiated employment agreements for key executives.
Commercial Lease/Licensing Agreements: Negotiated a substantial lease agreement for the complete relocation of company headquarters for a publicly traded hospitality company, including terms for renovation of the space and conveyance of office equipment. Handled a wide variety of collocation building license agreements for a leading national provider of collocation space.
Large Scale Purchase of Customer Accounts: Negotiated the acquisition by a new entrant service provider of the customer base of a competitor, including drafting of documents and coordination of transaction closing.
